Acknowledgement and Release

  • This document confirms that SanovaWorks has specifically ordered or commissioned you to create or prepare a work, consisting of text and associated questions, including accompanying figures, charts, photos, images, and/or graphics, to be included in the forthcoming publication and website titled (include program name and year here).

  • By your signature below, you hereby:

    1. Agree that this specifically ordered or commissioned Content is a "Work For Hire," and that SanovaWorks, as the entity for which the Content is prepared, shall own the rights, title, and interest in and to the Content (in print, online and in any medium now known or hereafter developed), including the entire copyright of the Content in perpetuity. You further agree that, to the extent the Content is not a "Work For Hire," you assign to SanovaWorks ownership of all rights, title, and interest in and to the Content, including ownership of the entire copyright of the Content in perpetuity.
    2. Represent and warrant that the Content is original and created solely by you, except for any parts you have credited to a third party from whom you have obtained written permission for use. You further warrant that publishing the Content will not infringe upon the rights of any third party, the copyright of the Content has not been previously assigned, licensed or otherwise encumbered, and that publishing Content will not be in violation of HIPAA or Privacy laws, and relieve SanovaWorks from any responsibility or claim thereof.
    3. Indemnify SanovaWorks for any claim against it for copyright violation or plagiarism.
    4. You are the authorized agent and are signing on behalf of all co-authors.
    5. Represent and warrant that to the best of your knowledge the Content you have provided is up-to-date and accurate information.
    6. Acknowledge that you will receive from SanovaWorks an Honorarium in the amount stated above as consideration for your authorship of the Content.
    7. Acknowledge this Agreement shall not render you as an employee, partner, agent of, or joint venturer with SanovaWorks for any purpose. For the term of this agreement, you are and will remain an independent contractor in relationship to SanovaWorks. SanovaWorks shall not be responsible for withholding taxes with respect to the your compensation hereunder. You shall have no claim against SanovaWorks hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, worker's compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind.
